Nscale Launches Major Funding Round Ahead of Planned IPO

London-based artificial intelligence cloud computing company Nscale is in the process of securing a substantial pre-IPO funding round, aiming to raise up to $3.5 billion. The move is designed to strengthen its balance sheet and accelerate growth initiatives before a potential public listing.

A Two-Part Funding Strategy

The financing plan is structured in two key components. The first involves the sale of up to $1.5 billion in convertible notes to investors. Daniel Loeb's Third Point is set to lead this portion of the investment, with Goldman Sachs acting as the arranger.

The second and more strategic element involves advanced discussions with Nvidia. Nscale is seeking approximately $2 billion in financing from the chipmaking leader, signaling a deep partnership in the competitive AI infrastructure landscape.

Impressive Metrics Fuel Investor Interest

In presentations to potential backers, Nscale has highlighted a significant contracted revenue backlog totaling around $10.3 billion. A notable part of this is a $45 billion computing power supply agreement with AI research firm Anthropic.

The company provided illustrative financial projections, estimating potential future annual revenue of $18.1 billion and adjusted EBITDA of approximately $13.6 billion. It was clarified that these figures are for illustrative purposes and do not constitute formal guidance.

Expanding Global Infrastructure Footprint

To meet soaring computational demands, Nscale is aggressively building out its physical infrastructure. A major data center campus dedicated for Microsoft's use is under development in Norway. Additionally, the company is planning a large-scale project in West Virginia, USA.

On the hardware procurement front, Nscale has placed a massive order for about 194,000 of Nvidia's upcoming Vera Rubin GPUs. This forward-looking purchase secures critical supply for its AI cloud services.

Setting the Stage for a Public Debut

This funding round is widely seen as the final step before an initial public offering. Previous reports suggested Nscale's IPO could aim to raise roughly $3 billion. Successfully closing this $3.5 billion pre-IPO round would significantly bolster its valuation and operational runway, positioning it as one of the most anticipated technology listings of the year.
