SEC Unveils Tokenized Stock Framework, Garnering Industry Support
The U.S. Securities and Exchange Commission (SEC) has recently granted a temporary, conditional "Innovation Exemption," permitting limited trading of eligible tokenized stocks on designated on-chain venues known as Tokenized Securities Venues (TSVs). This move marks a significant step in regulating the convergence of traditional finance and blockchain technology.
AMC's CEO Endorses Core Regulatory Principles
Adam Aron, CEO of AMC Entertainment, publicly expressed his approval of the policy direction outlined by SEC Chairman Paul Atkins. In a social media post, Aron highlighted three non-negotiable principles embedded within the new framework:
- Uncompromising Investor Protection: Robust safeguards for investors must be a cornerstone of any tokenized security offering.
- Prohibition of Synthetic Assets: Tokenized stocks must be backed by real, underlying securities, avoiding the risks associated with synthetic derivatives.
- Issuer Right to Object: Public companies should retain the right to prevent their securities from being traded on specific tokenized venues.
Aron clarified that compliant stock tokens, under the SEC's approach, must confer full shareholder rights—including voting and dividend entitlements. He also emphasized the importance of issuer consent in the tokenization process.
A Call for Global Consistency in Standards
Beyond endorsing the domestic rules, Aron addressed the international dimension. He directed a public message to Vlad Tenev, co-founder of Robinhood, urging the trading platform to adhere to the same three standards in its overseas stock tokenization initiatives.
"This is particularly crucial concerning investor protection, the ban on synthetic assets, and respect for issuer rights," Aron noted. His comments are widely interpreted as a push against regulatory arbitrage in cross-border fintech operations, advocating for a consistent level of investor protection globally.
