At the heart of the plan is a special class of shares designed for CEO Dario Amodei and the six other co-founders. Together, they would hold 50.1% of the company’s voting power, ensuring a decisive voice in major corporate decisions. This control isn’t unconditional. The structure requires that at least three of the founders maintain a minimum ownership stake in the company for the super-voting rights to remain active.
Currently, each founder holds roughly 2% of Anthropic’s equity. The new arrangement does not grant additional economic benefits or increase their share of profits; its value lies solely in strengthened governance.
Reinforcing the Governance Framework
Consolidating voting power is just one element of a broader strategy. Anthropic’s long-term benefit trust will continue to elect the majority of the board of directors. Furthermore, the founders are set to gain an additional board seat, increasing their direct representation in the top decision-making body.
In another notable move, the company plans to issue a special class of shares to employees. These shares would grant employees the right to break ties in certain board deadlocks, creating a novel check-and-balance between founders, the board, and the workforce.

This governance overhaul comes at a time of explosive growth in Anthropic’s perceived value. While the company was valued at $96.5 billion in May, recent secondary market transactions suggest investor expectations have ballooned to around $1.5 trillion. Its anticipated initial public offering is likely to reference this dramatically higher valuation.
