A Regulatory Tech Overhaul for Brazil's Fund Industry

Brazil's securities regulator, the CVM, is embarking on a foundational modernization of its oversight framework. The initiative centers on mandating asset tokenization while integrating artificial intelligence tools, aiming to transform how the massive fund market is supervised.

The Imperative for Change

CVM Chairman Otto Lobo highlighted the sheer scale of the challenge: the fund industry's net asset value has reached $2.32 trillion, spread across more than 34,000 active structures. "The market has evolved, and supervision must keep pace," Lobo stated, noting that traditional methods are now outdated for such complexity.

Building a Tech-Enabled Supervision Framework

Distributed Ledger Technology (DLT) is the cornerstone of this shift. The CVM is currently testing three distinct DLT systems to create a native digital asset infrastructure. The expected benefits are significant:

  • Instant Settlement & Risk Mitigation: Enabling near-instant settlement and eliminating counterparty risk.
  • Continuous Audit Trail: Providing an immutable, transparent record of all transactions.
  • Ultimate Beneficial Ownership: Ensuring clear identification of asset beneficiaries for compliance.

Smart contracts will be deployed at the asset level to automate compliance procedures like Anti-Money Laundering (AML) and Know Your Customer (KYC), embedding rules directly into the asset's lifecycle.

Market Impact and the Road Ahead

For investors, a key advantage will be dramatically lower access costs. Money market fund investments, for instance, could start as low as $20.

To support this ambitious transition, the CVM plans to hire approximately 1,200 new staff in the coming years. Funding is bolstered by a Supreme Court ruling allowing the regulator to retain 70% of its inspection fee revenue.

In parallel, Brazilian exchange B3 is developing its own tokenization service platform, slated for readiness by 2027. The goal is to create shared liquidity between tokenized assets and traditional securities, fostering a unified digital capital market ecosystem.
