New Regulatory Framework for Private Fund Investors in China
Authorities are seeking public feedback on draft rules to strengthen supervision over private fund fundraising activities. A key focus is the refined and elevated criteria for defining individual qualified investors.
Standard Eligibility Requirements: Experience and Financial Capacity
The proposed measures set forth dual requirements for individual investors.
- Investment Experience: More than two years of experience in securities, funds, futures, equity investments, or similar fields.
- Financial Threshold (meet one of the following):
- Household financial assets不低于 RMB 5 million;
- Or household financial net assets不低于 RMB 3 million;
- Or average annual personal income不低于 RMB 500,000 over the past three years.
Investors must also be assessed as having the corresponding risk identification and bearing capacity. These changes aim to ensure participants have sufficient financial resilience and investment savvy for the higher risks associated with private funds.
Higher Thresholds for High-Risk Fund Categories
The draft introduces significantly stricter criteria for investors targeting private funds with more concentrated or complex risk profiles. This applies primarily to funds focusing their investments on:
- Equity in real estate project companies
- Single investment targets
- Overseas assets
- Over-the-counter derivatives
Natural person investors in such funds must meet:
- Over four years of relevant investment experience;
- Household financial assets不低于 RMB 10 million;
- Household financial net assets不低于 RMB 6 million.
This tiered approach reflects a regulatory principle of aligning investor suitability with product risk levels, enhancing investor protection.
The overall goal of the draft "Measures for the Supervision of Private Investment Fund Fundraising" is to standardize practices, prevent misconduct, and steer the industry toward greater transparency and professionalism. The finalized standards will directly impact investment options for high-net-worth individuals and capital flows within the private market.
