A Landmark Acquisition Funded by Bitcoin

A significant strategic move in the crypto-finance space has been finalized. Simon Gerovich, Founder and CEO of Metaplanet, confirmed that the acquisition of NASDAQ-listed Super League Enterprise (SLE) has received shareholder approval. The standout feature of this deal is its substantial use of Bitcoin as acquisition currency.

Deal Structure and New Ownership

Metaplanet paid 2100 Bitcoin plus $2.5 million in cash, valuing the total transaction at approximately $134.6 million. In exchange, Metaplanet received newly issued shares, including roughly 44.86 million shares of common stock, along with preferred shares and warrants.

Upon completion, Metaplanet will hold about 95.7% of SLE's issued common stock, securing controlling interest. The acquired company will be rebranded as Superplanet.

Strategic Pivot: From Treasury to Global Financial Platform

This acquisition represents a fundamental shift in Metaplanet's strategy, moving beyond its identity as a Bitcoin treasury company toward building a global, Bitcoin-native financial platform.

Dual-Listing Platform Spanning US and Japan

Superplanet will serve as Metaplanet's publicly listed vehicle in US capital markets, providing enhanced financing options for its Bitcoin-centric operations. Combined with Metaplanet's existing securities entity in Japan, the company now operates across two major financial markets.

This dual-platform structure significantly strengthens Metaplanet's core business lines. Its Bitcoin treasury management, asset management, and development of innovative financial products will benefit from a robust global foundation, accelerating international expansion.
