The plan is designed to fund the concurrent development of two strategic treasury reserves: one dedicated to artificial intelligence (AI) and the other to Bitcoin (BTC).

Long-Term Vision: Dual Treasuries Totaling $1.6 Billion by 2031

The company's board has approved ambitious long-term financial targets. By fiscal year 2031, Genius Group aims to establish an $800 million AI treasury and an $827 million Bitcoin treasury. This strategic asset accumulation is projected to elevate the company's total assets to $2 billion, signaling a significant evolution in its business model.

Financing Through Perpetual Preferred Securities

To execute this plan, Genius Group intends to issue perpetual preferred securities as its primary financing instrument. This approach is chosen to achieve two key objectives:

  • Minimize Dilution: It seeks to limit dilution for existing common shareholders compared to traditional equity offerings.
  • Boost Book Value: The influx of capital is expected to enhance the company's net asset value per share.

An initial offering of $12.5 million in perpetual preferred securities is planned. These securities are expected to be non-convertible with monthly floating-rate distributions. Proceeds will be allocated to seed the AI and Bitcoin treasuries, as well as to create a dollar reserve to cover approximately 18 months of preferred share dividends.

Current Financials and Projections

As of the latest reporting, Genius Group's net assets stand at approximately $106.6 million, with a net asset value per share of $0.62. The company's common stock recently closed at $0.18.

Looking ahead, management projects that the net asset value per share could potentially reach between $2 and $4 over the next five years. The company notes that achieving this projection is contingent upon successful execution of the financing plan and favorable market conditions.

Bitcomeback: Scheduled Return to Bitcoin Accumulation

In a notable strategic shift, Genius Group, which had previously exited its Bitcoin positions, has announced plans to re-enter the market. The company is scheduled to resume purchasing BTC in the fourth quarter of 2026, initiating the phased build-up of its targeted Bitcoin treasury and reaffirming its long-term conviction in the digital asset.
